- Serve as a key legal partner to the commercial function, providing practical, business-oriented advice on a wide range of legal matters.
- Draft, review, and negotiate a variety of commercial agreements, including SaaS, vendor, partnership, and confidentiality agreements.
- Advise on corporate governance, entity management, and compliance with applicable laws and regulations.
- Develop and maintain expertise in ClickUp’s contracting instruments and corporate structure, ensuring best-in-class legal support for business initiatives.
- Collaborate with internal stakeholders to identify and mitigate legal risks, and to implement scalable legal processes.
- Contribute to legal team knowledge-sharing, process improvement, and the development of templates and playbooks.
- Juris Doctor (JD) or equivalent law degree; active bar membership in at least one U.S. jurisdiction.
- 3+ years of corporate legal experience, either in-house or at a law firm (hybrid litigation experience a plus).
- Demonstrated competency in commercial contracts, corporate governance, and legal operations for high-growth technology companies.
- Strong business acumen and ability to translate complex legal concepts into actionable guidance.
- Excellent communication, negotiation, and relationship-building skills.
- Ability to thrive in a fast-paced, collaborative, and dynamic environment.
- High integrity, sound judgment, and a proactive, solutions-oriented mindset.
